Sourcing Service Agreement
The terms to include with your individual service proposal.
The independent sourcing model is confirmed. Legal business identity, jurisdiction and project-specific terms need confirmation before publication or use in an agreement. This draft is not yet effective.
Parties and project details
This draft is a template to accompany a written service proposal. Before acceptance, the proposal must identify the legal person or company trading as ipackedit, its registration details and business contact (hello@ipackedit.com), the customer’s legal name and authorised contact, the project reference, and the agreement date.
No paid service begins merely because you submit a website enquiry. These template terms are not an accepted agreement until the relevant parties have completed and expressly accepted the project proposal and service terms.
Scope and deliverables
The proposal must state which services are included: for example, brief preparation, manufacturer research, quotation comparisons, sample coordination, supplier communications or production coordination. Specify any supplier-check criteria, deliverables, milestones, number of revisions, project period and exclusions.
Anything outside that scope, including on-site inspections, laboratory testing, design work, importing, logistics management or dispute representation, is not automatically included. An extension requires a written scope and fee accepted before the additional work starts.
Independent sourcing and direct supplier payment
You choose and contract directly with your manufacturer and pay it directly for its production and related goods charges. ipackedit is separately engaged for sourcing and agreed coordination. We do not own the factory, manufacture the goods, hold your production funds or guarantee a supplier’s manufacturing, quality or shipping performance.
We remain responsible for performing the services we agree to provide with the care required by applicable law. Any authority to place orders, accept supplier terms or incur costs for you must be separately and specifically recorded in writing; this agreement does not grant general authority to bind you.
Fees and payment
The proposal must list our service fee, currency, tax treatment, payment stages, due dates, scope assumptions and any agreed third-party expenses. No undisclosed charge is authorised by this template. Your free initial enquiry is not billable.
Manufacturer quotations and production payments are separate from ipackedit’s fees. Sampling, tooling, inspection or freight expenses must identify their provider and payment recipient. We must obtain your agreement before incurring an additional charge on your behalf.
If any supplier referral commission or other commercial incentive applies to the project, it must be disclosed before you accept the service or act on the affected recommendation. This draft does not assume a commission arrangement exists.
Customer decisions and approvals
Provide an accurate brief, intended use, target budget, quantity and relevant requirements. Review quotations, samples, artwork and specifications before approval. Communicate approvals directly to the manufacturer, with assistance where included in our scope.
The manufacturer agreement should address production specifications, tolerances, testing, delivery, duties, insurance, ownership of tooling and remedies. Our comparisons are support for your decision and do not replace the manufacturer contract.
Confidentiality, artwork and information
Each party should protect the other’s confidential project information and use it only for the agreed work, except where disclosure is authorised or legally required. Relevant information may be shared with approved suppliers and advisers as needed for the project, with suitable confidentiality arrangements where agreed.
You retain rights in artwork you supply and must have permission to use it. Sharing artwork for sourcing does not permit public marketing use. Ownership and permitted use of any new design work or deliverables must be specified in the proposal. Personal information is handled as described in the Privacy Policy.
Changes, delays and cancellation
Changes to scope, fees, deliverables or timing need written agreement. If information or approvals are delayed, the parties should agree a revised schedule and any necessary scope changes rather than assume extra fees are approved.
Either party may propose ending the project. Agreed cancellation terms must address completed work, authorised commitments, unused fees and handover materials fairly and in accordance with applicable law. If a party fails to meet an obligation, a reasonable opportunity to resolve it should be provided where appropriate. Read the Returns & Cancellations Policy.
Responsibility and legal rights
Each party is responsible for its own obligations. A manufacturer’s obligations arise under its agreement with you and applicable law; our obligations relate to our sourcing service. Nothing in this template excludes rights or liabilities that cannot lawfully be excluded.
Any liability limit, insurance requirement or governing-law clause needs review against the confirmed business structure, service scope and relevant jurisdiction. This draft does not add an unreviewed liability cap, mandatory arbitration clause or blanket indemnity.
Acceptance record
The final proposal must include acceptance by authorised representatives of both parties, the accepted scope and fee schedule, applicable service terms and policy versions, and the date. Keep a copy with the project records. Revisions to an accepted agreement require agreement and must not retrospectively remove rights.
